1. Acceptance of Terms

Welcome to Professional Law (“we,” “us,” or “our”). By accessing our website, platform, and associated compliance tools (“Services”), you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy.

If you do not agree with any part of these Terms, you must immediately cease using our platform. These Terms constitute a binding legal agreement between you and Professional Law.

2. Description of Services

Professional Law facilitates and simplifies corporate compliance, corporate filings, registrations, intellectual property management, and tax consultations in India.

Please note that while our platform automates and manages filing procedures through qualified internal resources, any professional advice or representation before statutory authorities is coordinated with independent, certified Chartered Accountants (CAs), Company Secretaries (CSs), and Legal Counsel under separate advisory engagements.

3. User Accounts & Responsibilities

To access certain filing options, you may be required to register an account. You agree to provide accurate, current, and complete information during the registration process and to keep such information updated.

You are solely responsible for maintaining the confidentiality of your account credentials. You accept responsibility for all activities that occur under your account.

Furthermore, you are responsible for uploading genuine and accurate corporate documentation (such as PAN cards, Aadhaar cards, incorporation certificates, and NOCs). Uploading fraudulent or falsified documentation is strictly prohibited and may result in immediate termination of services.

4. Payments, Fees & Refunds

Filing fees, professional service retainers, and registration costs are billed transparently. Government filing charges (where applicable) are passed through at actual costs.

Fees must be paid in full in advance before we initiate any registration or application filing with government portals (such as the Ministry of Corporate Affairs, GST portal, or Trademark registry).

Refund requests are handled on a case-by-case basis. Professional service charges are non-refundable once compilation work or portal filing has been initiated. Government fee payments made to registry portals are entirely non-refundable.

5. Intellectual Property

All website designs, content, graphics, custom software, databases, tool assets, and logos are the proprietary property of Professional Law or its licensors and are protected by Indian trademark, copyright, and patent laws.

You are granted a limited, revocable, non-exclusive license to access and use our platform for your internal business operations. You may not copy, scraping, redistribute, or reverse engineer any part of our digital systems without prior written consent.

6. Limitation of Liability

Professional Law makes every effort to ensure timely filing and accurate registration. However, we are not liable for any delays, penalties, or rejections caused by government portal outages, MCA processing backlogs, incorrect inputs supplied by you, or policy changes by statutory bodies.

In no event shall Professional Law, its directors, or affiliates be liable for any indirect, incidental, special, or consequential damages (including loss of business profits) arising out of the use or inability to use our services.

7. Termination of Services

We reserve the right to suspend or terminate your account or refuse service at our discretion, without prior notice, if we believe your actions violate these Terms, infringe upon third-party rights, or present legal exposure to our platform.

8. Governing Law & Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in New Delhi, Delhi.
